The Website Owner, including subsidiaries and affiliates (“https://www.sitebuilders.in/” or “https://www.sbmsolutions.co.in” or “we” or “us” or “our”) provides the information contained on the website or any of the pages comprising the website (“http://sitebuildersmarketing.in/”) to visitors (“visitors”) (cumulatively referred to as “you” or “your” hereinafter) subject to the terms and conditions set out in these website terms and conditions, the privacy policy and any other relevant terms and conditions, policies and notices which may be applicable to a specific section or module of the website.

Sitebuilders Marketing (SBM Solutions) aims to deal with its clients in a professional, timely, and favourable manner. By engaging with their business, the clients will be accepting the following.
Terms and conditions:-
The website development services and digital marketing agreement is intended as a binding agreement between Sitebuilders Marketing (Sbm Solutions) and the client, collectively known as the “Parties”.
The client has agreed to allow the above SBM Solutions to create, develop, test, and host a website according to the above-mentioned scope of work.
SBM Solutions is interested in undertaking such work, and the client and SBM Solutions mutually desire to set and agree to the following terms and conditions as listed.
Scope of Work:-
The specific deliverables and project requirements shall be governed by the Scope of Work document, which shall be reviewed and approved by the parties as a document separate from this website development services agreement.
SBM Solutions Requirements:-
The client hereby retains the services of SBM Solutions to design, develop, and host a website and any necessary additional items listed in accordance with the proposal submitted by SBM Solutions to the client.
Changes to this agreement or to any deliverables in this contract must be submitted in writing and approved by both parties prior to taking place.
SBM Solutions agrees to notify the company if any risks or schedule delays may take place, affecting delivery dates and the presentation of the final website.
SBM Solutions agrees to personally present the said website to both parties for final approval and acceptance by the client.
The client shall provide SBM Solutions with appropriate space and resources for such a presentation to take place.
SBM Solutions shall provide all necessary computers and staff to effectively achieve such a presentation.
Web Hosting:-
SBM Solutions shall provide website hosting services for the client’s website once development is complete. Hosting shall be in a shared hosting environment with a minimum of 99.9% server uptime.
SBM Solutions is in agreement to maintain a copy of the client’s website on an offline server as a backup to the live site.
Any and all modifications are expected to be completed within the promised business days of the SBM Solutions acknowledgement, depending on the level of repair or maintenance request.
SBM Solutions agrees to provide reasonable access to any parties authorised by the client for purposes of website audits, updates, or modifications.
Design:-
SBM Solutions agrees to obtain design approval from the client prior to beginning development by submitting detailed design mockups for client review.
The client’s website will not include any of the following unless previously agreed upon between both parties.
Any destructive, crude, insulting, harassing, violent, sexual, or any other inappropriate content is not allowed on any invisible fields or pages.
All materials to be supplied by the client must be provided with compatible file types and sizes.
Until final approval, no portions of the above site will be made available to end-users without the correct password and username combination.
Upon completion and approval of its final website, or upon the termination of this agreement, whichever occurs earlier, SBM Solutions shall deliver any and all materials developed in the course of its performance under this agreement and any other items deemed necessary for the operation of the website.
Documentation shall be delivered in either printed or electronic format as agreed upon by both parties. If code is delivered in electronic format, any and all files shall be provided with incompatible file formats.
SBM Solutions agrees they shall maintain website back-ups and one set of the final materials provided for a term up to the backup term.
If this Agreement is terminated prematurely or after the agreed backup term, SBM Solutions will give prior notice and destroy any and all copies, files, and documents related to this website development services agreement
Pricing:-
This website development services agreement shall be invoiced on a time-and-materials basis. There is no refund option available once the work commences. Payment Gateway third-party charges will be paid by the customer. SBM Solutions shall deliver one year of free services for the maintenance of the website. The client agrees to pay the invoice within 3 days of receiving it from SBM Solutions.
Termination:-
The client may terminate this website development services agreement at any time by providing written notice via email or certified mail to SBM Solutions.
SBM Solutions may cancel this agreement in the same manner if necessary. And also, SBM Solutions has access to cancel the project. If any approvals are pending from the client side or not going live within 6 months from the date of onboarding. If the client still wants to continue, the client has to pay the extra charges for the project.
In the event that this website development services agreement is cancelled by either party, SBM Solutions shall issue a final invoice for any unbilled time or materials. The client agrees to pay the final invoice according to the terms of this website development services agreement.
Refunds:-
Refunds will be given only until then it is finalised by both parties, after which service is charged as per agreement.
Conflict Resolution:-
This website development services agreement shall be governed by the prevailing laws of India. Should any conflicts arise related to this agreement, the parties agree to seek a suitable resolution through a neutral arbitrator, whose ruling shall be considered final and binding on both parties.
Sitebuilders Marketing (Sbm Solutions) reserves the right to modify the above terms and conditions at any point in time, including the time of an ongoing contract, and changes in the terms and conditions will be notified to the clients through company email.
